Hi Severin,

This is a proposal for branding the Boulder B-Sides program.

Boulder B-Sides puts local artists and arts organizations into vacant storefronts during Sundance. The program needs an identity of its own, one that reads as its own thing on a window, on a flyer, and on a phone.

This scope covers the development of the brand identity and the supporting campaign materials.

Scope of work

This proposal is based on our conversations to date. Please carefully review the phases outlined below. If anything doesn’t look right, let me know before approving this scope of work.

Your project team

Before anything starts, tell me who approves direction, up to 3 people. Those people stay involved from kickoff through completion. If someone new joins partway through and their input changes approved direction, that becomes a change in scope and I’ll quote the adjustment before the project continues.

Project phases

We start with a kickoff meeting, and the phases run in the order below. Every phase ends with a review meeting. I bring finished work, we go through it together, and then we move to the next phase. Small edits are handled inline and shown within the next presentation or deliverable.

We’ll meet at a regular cadence, about every week, to settle the direction, pick the brand character, and answer questions about the applications.

Phase 01Kickoff

In the kickoff phase we’ll review the project scope of work and begin building the inputs that shape our brand decisions.

Kickoff meeting. With everyone on your project team, covering:
  • The scope of work, the schedule, and how we work together
  • The creative brief and materials your team provided
  • Creative direction. Who the program is for, the goal for visual communication, and directions to avoid

Project brief. A written summary of the kickoff, with the approach, schedule, and deliverables confirmed. Sent before the brand character meeting.
Phase 02Brand character1 week

Two conceptual directions that preview the brand look and feel.

Includes
Brand character previews. Two, developed in parallel, each with:
  • Logo mark directions to guide the design of your brand symbol
  • Layout and typography ideas to set the tone for your system
  • Samples of visual elements like photography, illustration, and graphics that express your story
  • A suggested color palette to anchor your look and feel
Review meeting. We look at both directions together, and you pick the one that moves forward.

Brand character document. Each direction, with the thinking behind it.
Selected direction. Carried into Brand identity.
Phase 03Brand identity1 week

The marks and system that carry your brand everywhere it needs to appear.

Includes
Primary mark. With a logo lockup and secondary iteration.
Iconic mark. A simplified graphic for the social avatar, the favicon, and other small applications.
Review meeting. The identity concept, with the thinking behind it.
You get
Brand identity document. With the reasoning behind the choices.
Logo artwork. Every mark and arrangement, in AI, EPS, PDF, PNG, and SVG.
Phase 04Campaign materials1 week

The identity built out across the pieces the program needs for the announcement and the festival, plus the page your team works from. Presented together with the brand identity.

Includes
Application design. The identity carried across social, print, and the storefronts.
Review meeting. Every application, shown with the brand identity.
You get
Social templates. Two, one with image and text and one text only.
CRM templates. Two, square, in the same two arrangements.
Print poster template. One, built around the copy your team provides.
Window application. One design for the storefront glass.
Signage and wayfinding concept. One design for a second storefront placement, chosen together during the work.
Figma file. With the social and CRM templates.
Brand guidelines. A page with the logo, color, type, graphic elements, and the rules for using them.
Notes

The poster template is built around copy your team writes. That copy is due at the brand character meeting.

Final delivery closes the project.

Payment

We’ll confirm and hold a start date for your project after this proposal is approved and your 50% deposit is received.

Project schedule

Three weeks from kickoff to final delivery.

Your project schedule is based on a feedback window of one business day per deliverable. The phase schedule may change based on availability.

Out of scope

The following items are not included in this scope of work, but can be added with a separate proposal.

Rounds of edits. Each phase includes one round of work. Additional rounds are quoted before any additional work starts.
Competitive research and landscape analysis. Other arts programs, festivals, and city initiatives.
Copywriting and naming. Poster copy, headlines, captions, and press language. Boulder B-Sides is the name.
Production and reformatting. Printing, fabrication, installation, and vendor coordination. Resizing templates for other placements, and content changes after the review meeting.
Additional deliverables. Any concept, application, or deliverable not specifically outlined in the Scope of Work, including a website, a microsite, and merchandise.

Terms of service

These Terms of Service create a legal agreement between you (“You”) and Michael Benjamin, Inc. d/b/a Studio Parkside (“Studio Parkside,” “I,” “Me”).

Paying the first invoice indicates that you agree to the Scope of Work and these Terms of Service. These Terms take effect upon your approval of the Scope of Work and your first payment.

1. Scope of Work

You agree to the scope of work outlined in this proposal. Any services, deliverables, or revisions not specifically listed in the approved scope will require a separate quote and written approval before work begins.

Unless stated otherwise, all work is performed remotely, and all creative deliverables are conceptual previews until explicitly confirmed as production-ready.

2. Project Team

Your project team must include everyone responsible for approving project direction and deliverables. Please name them before the project begins.

The same participants should remain involved from kickoff through completion. If someone new joins and their input changes approved direction, that is a change in scope. Studio Parkside will quote the adjustment, along with its effect on schedule, before any work is redone.

3. Phase Sequence and Approvals

Phases run in the sequence listed in the Scope of Work, because each phase depends on what the phase before it establishes. Changing that sequence is a change in scope, and Studio Parkside will quote it before any work begins.

Approving a phase closes it. Approved direction carries forward into the phases that follow and will not be reopened.

If you decide to revisit an approved phase, that is new work. Studio Parkside will quote it before starting, including its effect on anything already built on top of it.

4. Schedule and Availability

Studio Parkside commits to the agreed schedule as long as you provide timely feedback. Confirmation or feedback is expected within one business day of delivery.

If no feedback is received for seven consecutive days, work will pause automatically until communication resumes. Timeline adjustments will be made as needed based on the delay.

5. Payment

Every engagement is a flat project fee. A 50% deposit is due before work begins. Studio Parkside will confirm and hold a start date for your project once this proposal is approved and the deposit is received.

The remaining balance is invoiced on the schedule stated in the Project fees section of this proposal. Where that section states a single balance, it is invoiced before final delivery and due on receipt. Where it states installments, each is invoiced in turn and due on receipt. In either case the balance is paid in full before final assets are delivered.

Pricing applies only when services are bundled as shown in the Scope of Work. Anything added to a phase is quoted before it starts.

If additional services or revisions are requested beyond the agreed scope, Studio Parkside will issue a quote for approval before proceeding. Full payment is required before ownership of any deliverables is transferred.

6. Edits and Additional Services

Each phase includes one round of work. Revisions beyond that round, or changes to direction after a phase has been approved, are quoted before anything is redone.

Additional concepts, deliverables, or rounds of edits beyond what this scope lists are available at your discretion for additional cost.

All added work will affect both schedule and cost, to be confirmed in writing prior to execution.

7. Additional Expenses

Expenses not included in the original proposal, such as travel, production, physical mockups, printing, font licensing, domain acquisition, or asset licensing, will be billed separately. Estimates for reimbursable expenses will be provided in advance whenever possible.

8. Ownership and Use

Upon receipt of full payment for the phase in which a deliverable was created, you will own all rights to that deliverable.

Studio Parkside retains ownership of preliminary materials, sketches, name candidates, and concepts not included in the final approved deliverables. Studio Parkside reserves the right to display and promote the completed work once it is no longer confidential or has been publicly launched.

9. Confidentiality

Studio Parkside will make reasonable efforts to maintain strict confidentiality regarding all materials you share. This obligation does not apply to information already public or previously known to Studio Parkside.

10. Copyright and Warranty

You are responsible for confirming that your use of any deliverables does not infringe upon third-party rights. Where preliminary name screening is included in the Scope of Work, it is not a legal opinion and is not a substitute for trademark clearance by qualified counsel.

Studio Parkside will not knowingly copy trademarked or copyrighted material. All work is provided “as is,” without warranty of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Disclaimer of Endorsement

Any recommendations made by Studio Parkside, such as vendors, contractors, or service providers, are provided for convenience and do not constitute endorsement or guarantee of performance or results.

12. Third Party Vendors

Where a scope includes creative direction of work executed by another vendor, Studio Parkside directs and reviews that work on your behalf. Studio Parkside is not responsible for that vendor’s schedule, build quality, technical execution, or performance.

13. Termination

Either party may terminate with thirty days’ written notice. Fees for the notice period are due in full, and any phase already underway is payable in full. The deposit is non-refundable.

14. Entire Agreement

This document, together with all related proposals, invoices, and purchase orders, constitutes the full and final agreement between you and Studio Parkside.

It supersedes all prior communications, whether oral or written, concerning the project and its terms.

By proceeding with payment, you acknowledge that you have reviewed and agree to the Scope of Work and the Studio Parkside Terms of Service. Payment confirms your acceptance of all terms and conditions described herein.
